Terms of Service

These Terms govern access to and use of the UW-agent website and, when you purchase or are invited to use the service, the UW-agent underwriting software. UW-agent is a product of Quantum of Solutions ("we," "us"). This draft is for internal review and is not legal advice.

Agreement

By using the site, requesting a demo, or accessing UW-agent, you agree to these Terms. If you use UW-agent on behalf of a company, you represent that you can bind that company. If you do not agree, do not use the site or service.

A signed order form, subscription agreement, or MSA (if any) between your company and us controls over these Terms for paid service terms where they conflict.

The service

UW-agent is software that helps MCA funders and shops underwrite deals and return a shop ticket. Plan faces described on the site:

  • Express — one-line ticket: Declined: [reason] or Approve / Amount / Term / Frequency
  • Explanation — same first line plus breakdown underneath
  • Premium — not generally available; no buy path unless we say otherwise

Published prices (Express $799/mo, 400 deals, $2.00 overage; Explanation $1,499/mo, 500 deals, $2.50 overage) are informational marketing figures and may change; your order or invoice controls.

Sample tickets are illustrations only. They are not credit decisions, offers, or commitments to any merchant.

Acceptable use

You will not:

  • Use the service for unlawful lending, fraud, or to circumvent applicable law
  • Upload malware or attempt to break, scrape at abusive volume, or reverse engineer the service except where law allows
  • Submit data you have no right to provide
  • Resell or white-label UW-agent without our written agreement
  • Misrepresent ticket output as a guarantee of merchant performance or as regulated consumer credit advice we do not provide

We may suspend access for abuse, nonpayment, or legal risk.

Your data; our output

You retain rights in data you submit. You grant us a limited license to host, process, and display that data solely to provide UW-agent and related support.

Ticket output is generated for your internal underwriting workflow. You remain responsible for final credit and funding decisions. We do not broker loans or guarantee approvals, declines, or merchant repayment.

Fees and payment

Paid plans are billed as stated on your order or invoice.

Overage is charged per deal above the included monthly allotment at the rate on your plan, unless your order says otherwise.

Intellectual property

UW-agent, the site, branding, and software are owned by us or our licensors. These Terms do not transfer ownership. You may not copy or create derivative works of the service except as we allow in writing.

Disclaimers

THE SITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that underwriting output will be error-free or that the service will be uninterrupted.

Changes; termination

We may update these Terms by posting a new version. Continued use after the effective date means acceptance, except where your written order requires another process.
